Company secretarial, kept up to date

Every Hong Kong company must have a company secretary and keep its statutory records in order. We act as company secretary, keep the registers, and file what the Companies Registry needs, on time.

What is included

  • Acting as company secretary, and providing a registered office address if you need one.
  • The Annual Return, filed within 42 days after each anniversary of incorporation.
  • Keeping the statutory registers: members, directors, company secretaries, and the significant controllers register.
  • Filing changes with the Companies Registry — directors and secretaries appointed or leaving, and a new registered office — within the 15 days allowed.
  • Minutes, written resolutions, share transfers and allotments.

What we need from you

  • The certificate of incorporation, articles of association and the registers as they stand today.
  • Identity documents for the directors and for anyone with significant control of the company.
  • Notice of any change as soon as it is decided, not after — most filings have a short deadline.

How long it takes

Routine filings are prepared as each date comes round, so there is nothing to catch up on. If your records have fallen behind, we bring them up to date first and tell you what that involves before we start.
